[接上页] (3) The Chancellor may appoint a person to be the Pro-Chancellor of the University. The Pro-Chancellor may, on the authorization of the Chancellor and on his behalf, exercise any of the powers and perform any of the duties conferred or imposed on the Chancellor. (Enacted 1987) Cap 1141 s 7 The Court (1) There shall be a Court, which shall be the supreme advisory body of the University. (2) The functions of the Court shall be to- (a) receive an annual report from the President; (Amended 27 of 1995 s. 3) (b) consider any reports made to it by the Council; (c) discuss any motion made at the Court on general University policy; (d) raise funds for the University; and (e) promote the interests of the University in Hong Kong and elsewhere. (Enacted 1987) Cap 1141 s 8 Functions of the Council PART IV THE COUNCIL There shall be a Council, which- (a) shall be the supreme governing body of the University; and (b) may exercise any of the powers conferred and shall perform all of the duties imposed on the University by this Ordinance, other than those powers conferred and those duties imposed by this Ordinance on some other authority or person. (Enacted 1987) Cap 1141 s 9 Membership of the Council Remarks: For the transitional provision relating to the amendments made by the Statute Law (Miscellaneous Provisions) Ordinance 2002 (23 of 2002), see section 81 of that Ordinance. (1) The Council shall consist of- (a) the President; (Amended 27 of 1995 s. 3) (b) the Vice-Presidents; (Amended 27 of 1995 s. 4) (c) the holder of each office (if any) of Dean of a Faculty and Dean of a School; (d) the Chairman of Convocation; (e) not more than 3 members, who shall be public officers, appointed by the Chief Executive; (f) not more than 3 academic members of the Senate nominated by the Senate and appointed by the Council; and (g) not more than 18 members, who shall not be public officers or employees of the University, of whom- (i) not less than 10 shall have experience in commerce or industry in Hong Kong and not more than 5 shall be from other tertiary institutions in or outside Hong Kong; (ii) not more than 9 shall be appointed by the Chancellor; and (iii) not more than 9 shall be appointed by the Chancellor on the recommendation of the Council.(2) (a) The Chancellor shall appoint, from the members appointed under subsection (1)(g) who have experience in commerce or industry in Hong Kong, 3 members as follows- (i) 1 member as Chairman of the Council; (ii) 1 member as Vice-Chairman of the Council; and (iii) 1 member as Treasurer of the University. (Amended 27 of 1995 s. 5) (b) The Vice-Chairman shall act as Chairman if the Chairman is absent from Hong Kong or is, for any other reason, unable to act as Chairman, or if the office of Chairman is vacant. (c) If both the Chairman and the Vice-Chairman are absent from Hong Kong or are, for any other reason, unable to act as Chairman, or if the offices of Chairman and Vice-Chairman are vacant, the members may appoint one of the members appointed under subsection (1)(g) to act as Chairman.(3) (a) A member who is appointed under subsection (1)(e) shall hold office at the discretion of the Chief Executive. (aa) Without prejudice to section 42 of the Interpretation and General Clauses Ordinance (Cap 1), a member who is appointed under subsection (1)(f)- (i) shall be appointed for a period of 3 years or such lesser period as the Council may in any particular case specify; (ii) may from time to time be reappointed; and (iii) may at any time by notice in writing to the Chairman of the Council resign from the Council. (Added 23 of 2002 s. 80)(ab) A member who became a member of the Council under subsection (1)(f) shall cease to be a member of the Council when he ceases to meet the criteria of eligibility for nomination by the Senate. (Added 23 of 2002 s. 80) (b) Without prejudice to section 42 of the Interpretation and General Clauses Ordinance (Cap 1), a member who is appointed under subsection (1)(g)- (Amended 23 of 2002 s. 80) (i) shall be appointed for a period of 3 years or such lesser period as the Chancellor may in any particular case specify, but may from time to time be reappointed; and (ii) may at any time by notice in writing to the Chancellor resign from the Council. (Enacted 1987. Amended 53 of 2000 s. 3; 23 of 2002 s. 80) Cap 1141 s 10 Meetings and procedure of the Council (1) Meetings of the Council shall be held at such times and places as the Chairman may appoint. (2) At any meeting of the Council, 50% of the members of the Council for the time being shall form a quorum. (3) The Council may determine its own procedure. (4) If a member has any pecuniary or other personal interest in any matter to be considered at a meeting of the Council and is present at such meeting, he shall as soon as possible after the commencement of the meeting disclose to the Council the fact and nature of the interest and shall, if required by the Council, withdraw from the meeting while the Council is considering the matter and in any case shall not vote thereon. |
